Challenge

A first-time purchaser in Puchong received a draft SPA from the developer's solicitors with several unusual conditions they did not understand. They were concerned about committing to terms without clarity on their obligations and exit options if financing fell through.

What We Did

We reviewed the SPA in full, identified two conditions that limited the purchaser's recourse significantly, and prepared a marked-up version with plain-language explanations. We corresponded with the developer's solicitors to negotiate the removal of one clause and a modification to the other.

Outcome

The purchaser signed with a clearer understanding of their rights and with more balanced conditions in the final SPA. The matter completed within 11 weeks of SPA execution. The client subsequently referred two family members to us.

Challenge

A F&B operator was preparing to open a second outlet in Ara Damansara. The landlord's lease contained a reinstatement clause requiring the tenant to restore the unit to original condition — which would have required removing all fitout at the end of tenancy. The tenant had not identified this as a concern.

What We Did

Our review flagged the reinstatement clause in the summary provided to the client, quantified the potential cost exposure, and provided negotiating language for the client to present to the landlord. We assisted in drafting a counter-proposal that capped reinstatement obligations.

Outcome

The landlord agreed to a modified reinstatement clause limiting obligations to structural works only. The business owner estimated this change saved a projected RM 18,000–RM 25,000 in potential fitout removal costs at lease end.

Challenge

A developer client wished to acquire a parcel of agricultural land in the Selangor highlands for mixed residential development. The land carried an agricultural condition under the title, and state authority consent for change of use was required. Initial due diligence had not been conducted.

What We Did

We conducted a full title search, prepared a due-diligence report identifying the conversion requirements, and mapped the regulatory pathway including the state authority consent process and relevant local planning authority submissions. The client was advised on realistic timelines before committing to the acquisition.

Outcome

State authority consent was obtained within seven months. The acquisition proceeded on an informed basis, with the developer having a clear regulatory roadmap from the outset. The compliance roadmap we prepared has since guided the early development planning for the site.
