1. Definitions
In these Terms and Conditions, the following terms have the meanings given:
- "Teguh Partners", "we", "us", "our" refers to Teguh Partners, a legal practice registered in Malaysia, operating from Lot 22A, 3rd Floor, Plaza Teguh, Jalan SS 6/6, 47301 Petaling Jaya, Selangor.
- "Services" means legal services provided by Teguh Partners, including residential conveyancing, commercial lease advisory, and land acquisition and title advisory.
- "Client", "you", "your" refers to any individual or entity that uses our website or engages our Services.
- "Website" means the website accessible at https://tegguhpartne.pro and all associated pages.
- "Agreement" means these Terms and Conditions together with any Letter of Engagement issued for a specific matter.
- "Matter" means a specific legal engagement for which we have been instructed.
2. Acceptance of Terms
By accessing our Website or instructing us to act on a Matter, you agree to be bound by these Terms and Conditions. These Terms govern your use of the Website and form part of the agreement between you and Teguh Partners for any Services provided.
Our Services are available to individuals aged 18 and above who have the legal capacity to enter into binding agreements under Malaysian law. By instructing us, you confirm that you meet this requirement.
3. Description of Services
Teguh Partners provides the following legal services:
- Residential Conveyancing: Legal support for the purchase and sale of residential properties in Malaysia, including SPA preparation, title searches, stamping, and land office registration.
- Commercial Lease Advisory: Review and advisory services on commercial tenancy and lease agreements, including identifying risk provisions and producing marked-up documents and obligation summaries.
- Land Acquisition and Title Advisory: Guidance on land acquisition transactions, including due diligence, regulatory compliance, state authority consent applications, and title matters.
Our Services are available to clients in Malaysia, with particular focus on matters in Selangor and the Kuala Lumpur Federal Territory. Geographic restrictions may apply to specific matters depending on the relevant state land authority's jurisdiction.
4. Engagement and Instructions
A Matter engagement commences upon execution of our Letter of Engagement, which will specify the scope of work, estimated fees, and disbursements. We are not obliged to commence work until the Letter of Engagement is signed and any requested payment on account is received.
Instructions must be provided in writing (including email). We may act on verbal instructions in urgent circumstances, but these should be confirmed in writing within 24 hours. We reserve the right to decline to act on any instruction that conflicts with our professional duties or applicable law.
5. Client Obligations
To enable us to provide our Services effectively, you agree to:
- Provide accurate, complete, and timely instructions and supporting documents.
- Comply with our client due diligence requirements under the AMLATFPUAA, including providing identification documents as requested.
- Inform us promptly of any change in circumstances relevant to your Matter.
- Respond to our communications within a reasonable timeframe to avoid delays in your Matter.
- Use our Website only for lawful purposes and in accordance with these Terms.
6. Intellectual Property
All content on this Website, including text, layout, graphics, and original materials, is owned by or licensed to Teguh Partners. You may not reproduce, distribute, or commercially exploit Website content without our prior written consent.
Legal documents prepared by us for your Matter (SPAs, lease reviews, compliance roadmaps) are prepared for your use in connection with the specific Matter only. They may not be reproduced or used as templates for other transactions without fresh legal review and our written agreement.
7. Fees and Payment
Our professional fees for conveyancing matters are calculated in accordance with the Solicitors' Remuneration Order 2005. For commercial lease advisory and land acquisition advisory, fees are agreed in writing in the Letter of Engagement, typically on a fixed-scope or hourly basis.
A fee estimate and disbursement breakdown will be provided before work commences. All estimates are given in good faith; actual fees may vary if the scope of work changes. Disbursements (including stamp duty, land office fees, and search fees) are payable separately and at cost.
Fees are payable in Malaysian Ringgit. Payment is due upon receipt of our bill unless otherwise agreed. Overdue accounts may attract interest at the rate set out in the Letter of Engagement.
Where a transaction does not proceed to completion for reasons outside our control, we reserve the right to charge for work completed to the date of termination in accordance with the applicable fee scale and our disbursements incurred.
8. Disclaimers
Our legal advice is provided based on the facts and documents you supply and the law as it stands at the time of advice. We do not warrant that our advice will remain accurate if the law changes after the date of the advice.

We do not guarantee specific outcomes in any Matter. The result of any legal transaction depends on factors outside our control, including the decisions of land authorities, financial institutions, and counterparties.
9. Limitation of Liability
Our liability to you for any claim arising from our Services is limited to the amount of professional fees paid by you in respect of the specific Matter giving rise to the claim. We are not liable for indirect, consequential, or economic loss arising from delays caused by third parties including land authorities, banks, or the other party to your transaction.
Nothing in these Terms limits our liability for fraudulent misrepresentation, wilful default, or matters that cannot be limited by law. Our professional indemnity insurance provides additional protection for clients in the event of a valid professional negligence claim.
10. Termination
Either party may terminate the engagement by giving written notice. Where you terminate the engagement, fees for work completed to the date of termination remain payable. Where we terminate the engagement, we will give reasonable notice and assist with orderly handover to another solicitor where practicable.
We may cease acting immediately where continued representation would breach our professional duties or applicable law, including situations involving a conflict of interest that cannot be resolved.
11. Confidentiality
All communications and information you provide in connection with your Matter are treated as confidential. We will not disclose your information to third parties except as necessary to carry out your instructions, as required by law, or as authorised by you in writing.
Our professional duty of confidentiality survives the termination of the engagement and continues indefinitely.
12. Complaints
We are committed to handling client matters professionally and to resolving any concerns promptly. If you are dissatisfied with our Services, please write to us at [email protected] in the first instance. If the matter is not resolved to your satisfaction, you may make a complaint to the Malaysian Bar Council.
13. Governing Law and Dispute Resolution
These Terms and any Matter engagement agreement are governed by the laws of Malaysia. Any dispute arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Malaysia, with venue in the courts serving Selangor or the Federal Territory of Kuala Lumpur.
Parties agree to attempt resolution through good-faith discussion before commencing formal proceedings.
14. General Provisions
These Terms, together with the Letter of Engagement for any specific Matter, constitute the entire agreement between the parties on the subject matter. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver of that right.
We may update these Terms from time to time. The current version will always be posted on our Website with the "Last Updated" date noted above. Continued engagement with our Services after an update constitutes acceptance of the revised Terms.
